Terms of Service
Last updated: 3 July 2026 These Terms of Service govern access to and use of Magrathean websites, products, apps, software, documentation, support, downloads, reports, examples, and related services. These Terms are intended to cover, at a minimum:
- Auditex, including
auditex.hu, the Auditex CLI, MCP surfaces, documentation, examples, reports, exports, customer handoff packs, and support channels. - Codexex, including
codexex.eu, the Codexex macOS and iOS apps, helper components, App Store listings, support channels, documentation, and related local companion tools. - Magrathean corporate websites and contact points, including
magrathean.ukand email addresses under that domain.

The products and websites are owned and operated by:

In these Terms, “Magrathean”, “we”, “us”, and “our” mean MAGRATHEAN UK LTD. “You” means the person or organisation accessing or using the products. If you use the products for an organisation, you represent that you have authority to bind that organisation.
Legal order of precedence
These Terms apply unless a signed written agreement with Magrathean states otherwise. If there is a conflict, the following order applies unless mandatory law requires another result:
1. A signed enterprise agreement, order form, statement of work, data processing agreement, or support agreement with Magrathean. 2. Product-specific App Store terms, Apple terms, or platform terms where Codexex is obtained through Apple. 3. The applicable open-source licence for open-source code, where the licence applies directly to the code. 4. These Terms. 5. Product documentation, readme files, release notes, and marketing pages.
Nothing in these Terms limits rights that cannot lawfully be limited, including mandatory consumer, data-protection, platform, open-source, or statutory rights.
Acceptance
By accessing a Magrathean website, downloading a product, installing an app, running a CLI, using an MCP surface, opening documentation, requesting support, submitting a security report, or otherwise using a product, you accept these Terms.
If you do not accept these Terms, do not use the products.
By accessing, browsing, or continuing to use a Magrathean website (including this website), you also accept the use of cookies, analytics, measurement, attribution, and similar tracking technologies as described in the Privacy Policy. These technologies are active by default from your first visit; no cookie consent banner is displayed. If you do not accept them, block or delete them using your browser controls or stop using the website.
Eligibility and authority
You must be legally capable of accepting these Terms. The products are intended for business, professional, technical, developer, auditor, administrator, and adult users. They are not directed to children.
If you use the products for an organisation, customer, client, employer, tenant, or third party, you are responsible for having proper authority and for ensuring that your use complies with your organisation’s policies, applicable laws, third-party terms, and data-protection obligations.
Product ownership and intellectual property
Magrathean owns the products, websites, documentation, designs, names, marks, branding, reports, templates, generated documentation structure, proprietary app code, product names, and related intellectual property, except for third-party materials and open-source components owned by their respective rights holders.
5.1 Auditex open-source code
Certain Auditex source code may be released under the Apache License, Version 2.0, or another licence stated in the relevant repository or file. That licence governs your rights to copy, modify, and distribute that licensed code. Magrathean retains ownership of its copyright and other rights. These Terms govern Magrathean websites, support, documentation, services, brand, trademarks, hosted materials, product access, and non-code commercial relationship, but they do not take away rights granted directly under an applicable open-source licence.
5.2 Codexex proprietary app
Codexex is proprietary software unless a specific component is separately licensed under an open-source or third-party licence. Public availability of a repository, binary, metadata, documentation, or App Store listing does not grant any right to copy, modify, redistribute, reverse engineer, or use Codexex outside these Terms, the applicable platform terms, and any included third-party licences.
5.3 Third-party notices
Third-party components, trademarks, APIs, SDKs, and services remain the property of their respective owners. You must comply with applicable third-party licences and terms.
Trademarks and affiliation disclaimers
Microsoft, Microsoft 365, Entra ID, Azure, Intune, Defender, Exchange, SharePoint, OneDrive, Microsoft Graph, and PowerShell are trademarks of Microsoft Corporation or its affiliates.
Google, Google Workspace, Gmail, Google Drive, Google Calendar, ChromeOS, and related marks are trademarks of Google LLC or its affiliates.
OpenAI, ChatGPT, GPT, Codex, and related marks are trademarks of OpenAI, Inc. or its affiliates. Anthropic and Claude are trademarks of Anthropic, PBC. Apple, macOS, iOS, iPadOS, App Store, TestFlight, and related marks are trademarks of Apple Inc.
Magrathean products are not affiliated with, endorsed by, sponsored by, authorised by, or officially connected to Microsoft, Google, OpenAI, Anthropic, Apple, or any other third-party platform provider unless a written statement from that provider says otherwise. References to third-party names exist solely for descriptive interoperability.
Privacy and data protection
Use of the products is subject to the Magrathean Privacy Policy. You are responsible for reading it and ensuring that your use of the products is compatible with your own privacy notices, lawful bases, consents, data-processing agreements, retention rules, security policies, and third-party commitments.
If you use a product to process personal data about other people, including employees, contractors, customers, tenant users, administrators, developers, or third-party users, you are responsible for having a valid legal basis and providing any required notices.
Magrathean acts as a processor only where a signed written agreement says so. If you ask Magrathean to access, review, host, troubleshoot, or otherwise process tenant evidence, logs, support bundles, local usage history, or customer outputs on behalf of a customer, that processing must be governed by a written support agreement, statement of work, enterprise agreement, or data processing agreement unless the processing is limited controller-side support correspondence.
Secure publication of legal notices
Magrathean intends to publish its Terms and Privacy Policy over HTTPS. Do not submit personal data, tokens, credentials, tenant evidence, account information, support materials, or security reports through plain HTTP or an unauthorised mirror. If you identify an insecure or suspicious copy of a Magrathean legal page, report it to [email protected].
Account, authentication, and credential responsibilities
You are responsible for securing your own accounts, devices, tenant permissions, local files, output directories, service-account keys, OAuth caches, passwords, API keys, bearer tokens, refresh tokens, local helper state, backups, and support transfers.
Do not send Magrathean credentials, passwords, tokens, service-account keys, OAuth caches, bearer material, refresh material, private tenant evidence, or customer secrets unless Magrathean has specifically requested them and agreed a secure transfer route.
If you expose credentials or tokens through product use, support requests, logs, screenshots, repositories, chat tools, AI/MCP clients, or file sharing, you are responsible for revocation, rotation, customer notification, and incident handling unless a signed written agreement says otherwise.
Auditex terms
10.1 Authorised use only
Auditex may be used only against Microsoft 365 tenants, Google Workspace domains, accounts, systems, data, and environments that you own or for which you have explicit written authorisation from the owner or authorised administrator.
Unauthorised access to computer systems, cloud tenants, mailboxes, files, directories, logs, APIs, accounts, or data may be a criminal offence and may create civil, regulatory, contractual, employment, or professional liability. You are solely responsible for obtaining and retaining evidence of authorisation before running Auditex.
10.2 Audit-only public product surface
The public Auditex audit surface is intended to be audit-only. It is designed to collect read-only posture evidence, normalise evidence, record coverage, produce findings, generate reports, build proof tables, create API inventories, produce customer handoff packs, and expose CLI/MCP review surfaces.
Auditex is not a remediation system, managed security service, monitoring service, emergency-response service, compliance certification, legal opinion, penetration-testing service, exploit tool, or substitute for professional judgement.
10.3 No-content-read policy
Public Auditex collectors are intended not to read Gmail message bodies, Google Drive file content, Exchange mailbox body content, SharePoint file content, or OneDrive file content. Metadata and settings may still contain personal data and confidential business information, including names, email addresses, group memberships, device metadata, OAuth grant metadata, sharing metadata, permissions, role assignments, audit events, and security posture records.
You must treat every Auditex bundle, report, export, log, and customer pack as confidential unless you have reviewed it and are authorised to share it.
10.4 Local evidence and customer packs
Auditex writes evidence locally under the output directory selected by the operator. Raw evidence is not sent to Magrathean by default. Customer handoff packs may copy selected customer-safe artifacts and checksums, but you are responsible for verifying the pack and ensuring that it is suitable for disclosure.
You must define and follow appropriate retention, deletion, encryption, access-control, backup, and transfer rules for Auditex outputs. Magrathean is not responsible for your local evidence handling unless a signed written agreement says otherwise.
10.5 Permissions and coverage
Auditex may report missing permissions, missing licences, tenant policy blocks, API failures, local toolchain gaps, and unverified collectors. Partial results are not complete audits. You must review blockers, coverage ledgers, API inventories, proof tables, and validation outputs before relying on reports.
10.6 Microsoft, Google, and tenant terms
You are responsible for complying with Microsoft, Google, tenant, employer, customer, professional, legal, contractual, and data-protection obligations. Magrathean does not grant you rights in any Microsoft, Google, customer, or third-party environment.
10.7 AI and MCP use
Auditex may expose MCP or AI-friendly surfaces for local bundle review. You are responsible for the MCP client, AI system, LLM provider, prompt, output, transfer, retention, confidentiality, and legal basis. Do not send tenant evidence, secrets, raw logs, reports, or personal data to an external AI system unless you are authorised and have appropriate safeguards.
Magrathean is not responsible for hallucinations, incorrect AI conclusions, unsupported inferences, or decisions made from AI/MCP outputs.
Codexex terms
11.1 Informational quota companion
Codexex is a local-first companion app for viewing Codex/OpenAI quota state, reset windows, local usage history, local Codex session usage, and forecasts. Quota readings, reset timing, history, session-burn analytics, usage forecasts, and warning labels are informational only.
Codexex is not a billing system, invoice, audit log, legal record, employment-monitoring system, compliance system, or contractual record. OpenAI/ChatGPT account dashboards, invoices, provider records, and provider terms remain the source of truth for your account and billing relationship with OpenAI.
11.2 ChatGPT/OpenAI sign-in
Codexex may use a ChatGPT/OpenAI device-code sign-in flow. You may need to open a browser, approve sign-in, and allow Codexex to fetch quota/account data. Codexex may exchange approved device codes for OAuth tokens and use those tokens locally to refresh sign-in and request quota information.
Depending on platform and build, Codexex stores OAuth access tokens, refresh tokens, ID-token claims, account identifiers, email address, plan type, expiry times, and related authentication metadata locally either in Apple Keychain or in a Codexex helper authentication file under the user’s Application Support area with restrictive local file permissions.
You must not use Codexex to extract, misuse, share, bypass, sell, or repurpose OpenAI/ChatGPT credentials, session data, tokens, quota data, or account information.
11.3 Local Codex session data
If enabled or selected, Codexex may read local Codex session JSONL files and related local paths to calculate usage. This may include timestamps, session IDs, turn IDs, model names, token counts, command counts, rate-limit fields, context-window signals, current working directories, project paths, source file paths, and derived summaries.
You are responsible for ensuring that you are authorised to process local Codex session data on the device and account you use. Do not use Codexex to monitor another person’s usage without appropriate authority and notice.
11.4 Device permissions
On macOS, Codexex may use the app sandbox, outbound network access, user-selected read-only file access, app-scope security-scoped bookmarks, local app storage, notifications, launch-at-login settings, and helper/XPC components where needed for product functionality.
You may decline optional permissions, but some features may not work without them. Codexex should not require access that is unrelated to its core functionality.
11.5 No Magrathean quota cloud by default
Codexex does not send your OpenAI tokens, local usage history, local Codex session files, or quota history to Magrathean by default. If you send logs, screenshots, history, support bundles, or diagnostics to Magrathean, Magrathean may process them for support, security, legal, or operational purposes under the Privacy Policy and any applicable written agreement.
11.6 Paid app and App Store
Where Codexex is obtained through the Apple App Store, Apple’s terms apply to purchase, download, family sharing, refunds, device use, platform rules, and App Store account matters. Apple processes App Store payments and refunds through your Apple ID. Magrathean does not receive your full payment-card details from Apple.
The current Codexex product is intended to be paid upfront and not to include in-app purchases, subscriptions, StoreKit products, paywalls, or entitlement-gated premium paths unless a later App Store listing or written Magrathean notice expressly states otherwise.
If a future version includes subscriptions or in-app purchases, the App Store listing and in-app purchase flow will identify price, renewal term, what is provided, cancellation method, trial terms, and other mandatory information.
11.7 Apple relationship
Apple is not responsible for Codexex support, warranties, claims, product operation, or legal compliance except to the extent required by Apple’s own terms or applicable law. Where Apple platform terms make Apple or its subsidiaries third-party beneficiaries of the app licence, they may enforce those rights.
Support, security reports, and submitted material
Magrathean may provide support, issue review, security response, or commercial assistance at its discretion or under a written agreement. Support is not guaranteed unless a signed written agreement says so.
Before submitting material to Magrathean, you must review and redact unnecessary personal data, confidential data, secrets, tokens, service-account keys, OAuth caches, bearer material, refresh material, raw tenant evidence, and third-party confidential information.
You grant Magrathean a limited right to use submitted material to provide support, investigate issues, improve and secure products, comply with law, enforce these Terms, and protect rights. You represent that you have the right to provide the material.
Magrathean may refuse, delete, quarantine, or require secure handling for high-risk material.
Fees, refunds, and commercial terms
Some products may be free, open-source, paid upfront, subscription-based, enterprise-licensed, pilot-based, support-based, or distributed through third-party stores. The applicable listing, order, invoice, App Store page, signed agreement, or written quote states the commercial terms.
Enterprise, support, pilot, subscription, or SOW purchases are governed by the applicable written agreement. If no written agreement applies, fees are due as stated at the point of purchase or in the invoice.
Except where mandatory law, Apple rules, a store policy, or a written agreement gives you a cancellation, withdrawal, refund, or other remedy, payments are non-refundable once access, download, support, or paid services have been provided.
Nothing in these Terms limits mandatory consumer, digital-content, distance-selling, withdrawal, cancellation, refund, or statutory rights that cannot lawfully be excluded.
Acceptable use
You must not:
- use the products without proper authorisation;
- use the products to break into, attack, disrupt, overload, scrape, or exfiltrate from systems or accounts;
- use the products for unlawful surveillance, credential theft, token extraction, phishing, malware, spyware, abuse, harassment, or illegal activity;
- bypass platform, tenant, account, API, quota, security, permission, sandbox, or rate-limit controls;
- misrepresent outputs as complete, certified, legal advice, regulatory approval, billing records, or provider records;
- remove legal notices, copyright notices, licence notices, or third-party notices;
- misuse Magrathean trademarks or imply endorsement;
- submit secrets or third-party confidential material without authority;
- violate Microsoft, Google, OpenAI, Apple, GitHub, package-registry, tenant, employer, or customer terms;
- use the products in breach of sanctions, export controls, procurement rules, professional obligations, or applicable law.
Magrathean may suspend or terminate access, refuse support, revoke licences, block downloads, or take legal action where it reasonably believes these Terms have been breached.
Your outputs and decisions
Reports, findings, proof tables, forecasts, summaries, diagnostics, blockers, API inventories, quota readings, and usage insights are generated from available data, product logic, third-party APIs, local files, and user configuration. They may be incomplete, delayed, inaccurate, rounded, unavailable, stale, misconfigured, or affected by missing permissions, platform changes, API changes, tenant settings, local state, provider outages, software bugs, or user error.
You are responsible for human review before relying on outputs. You must not rely on product outputs as legal advice, security certification, compliance certification, financial advice, billing confirmation, employment decision, disciplinary record, regulatory filing, or sole basis for material decisions.
Updates and changes to products
Magrathean may update, modify, suspend, remove, discontinue, rename, repackage, or change products, features, APIs, documentation, support paths, pricing, and distribution where reasonably necessary for security, legal, provider-platform, operational, compatibility, commercial, or product reasons.
Magrathean will not deliberately remove core paid functionality during a current paid term without a valid reason and without providing any remedy required by mandatory law, Apple rules, or a written agreement.
You are responsible for keeping software updated and for reviewing release notes, documentation, and changes before use.
Third-party services and API changes
The products may depend on third-party services, APIs, SDKs, libraries, stores, package registries, operating systems, account providers, cloud providers, and platform rules. These third parties may change or discontinue services, restrict access, alter API responses, change rate limits, change terms, revoke permissions, require new consent, or introduce outages.
Magrathean is not responsible for third-party services, third-party terms, third-party data, provider outages, provider API changes, account restrictions, billing changes, App Store decisions, OpenAI quota changes, Microsoft/Google tenant policy changes, or Apple platform changes.
Open-source and third-party licences
Open-source and third-party components are licensed under their own licences. Those licences may grant rights or impose obligations that are separate from these Terms. To the extent an open-source licence gives you rights that these Terms appear to restrict, the open-source licence governs the licensed component.
You must preserve required notices, attribution, copyright statements, and licence terms.
Feedback
If you send Magrathean ideas, suggestions, bug reports, feature requests, comments, or feedback, you grant Magrathean a perpetual, worldwide, royalty-free right to use them without restriction or compensation, unless a signed written agreement says otherwise. Do not send confidential feedback unless it is covered by an appropriate agreement.
Confidentiality
You must keep confidential any non-public product information, security information, credentials, tenant evidence, customer data, support material, pricing, roadmap information, private repository content, or other confidential information you receive through the products or from Magrathean, unless disclosure is authorised or required by law.
Magrathean will handle customer confidential material submitted to it according to the Privacy Policy, these Terms, and any applicable written agreement.
Export controls, sanctions, and restricted use
You must comply with all applicable export control, sanctions, anti-bribery, anti-corruption, procurement, and trade compliance laws. You must not use or provide the products where prohibited by law or where doing so would expose Magrathean to legal liability.
Disclaimers
The products are provided “as is” and “as available” except to the extent a written agreement or mandatory law says otherwise. Magrathean disclaims all warranties, representations, and conditions not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, compatibility, completeness, and error-free operation.
Magrathean does not warrant that:
- product outputs are complete, accurate, current, or suitable for your use case;
- third-party APIs, services, stores, or platforms will remain available or unchanged;
- Auditex will find every risk, misconfiguration, permission issue, or compliance issue;
- Codexex quota readings or forecasts will match OpenAI/ChatGPT account dashboards, invoices, or provider records;
- local files, tenant evidence, reports, or support material will be free from personal data or confidential information;
- the products will meet your legal, regulatory, security, procurement, employment, or professional requirements.
Liability limits
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, wilful misconduct where it cannot be excluded, or statutory rights that cannot be excluded.
For business users, Magrathean is not liable for indirect, consequential, special, incidental, punitive, exemplary, or similar losses; loss of profit; loss of revenue; loss of business; loss of goodwill; loss of anticipated savings; loss of contracts; loss or corruption of data; loss of use; security incidents caused by your systems or configuration; provider outages; third-party API changes; or losses arising from unauthorised or unlawful use.
For business users, Magrathean’s total aggregate liability arising out of or relating to the products, websites, support, or these Terms is limited to the greater of: (a) the amount you paid to Magrathean for the relevant product or service in the twelve months before the event giving rise to liability; or (b) £100. For free, open-source, trial, preview, beta, or unpaid use, the total aggregate liability cap is £100.
For consumers, these Terms do not limit mandatory consumer rights. The liability limits apply only to the extent permitted by applicable consumer law.
Indemnity for business and authorised-operator use
If you are a business user, customer, tenant owner, administrator, consultant, auditor, developer, or operator using the products for an organisation or third party, you will indemnify Magrathean against claims, losses, liabilities, damages, penalties, costs, and expenses arising from:
- unauthorised, unlawful, or negligent use of the products;
- use against a tenant, domain, account, system, or data source without proper authorisation;
- breach of third-party terms, customer agreements, employment duties, platform rules, or laws;
- mishandling of tenant evidence, support bundles, local usage history, reports, tokens, or credentials;
- decisions made from product outputs without appropriate human review;
- material you submit to Magrathean without adequate rights, redaction, or authority.
Suspension and termination
Magrathean may suspend or terminate access to websites, downloads, support, licences, or services where:
- you breach these Terms;
- use is unlawful, unsafe, abusive, or unauthorised;
- required fees are unpaid;
- a third-party platform or store requires it;
- continuing access would create security, legal, operational, or reputational risk;
- Magrathean discontinues the product or service.
Termination does not affect accrued rights, payment obligations, confidentiality obligations, liability limits, disclaimers, intellectual-property rights, indemnities, or provisions intended to survive.
Data processing schedule for customer support and enterprise services
This section applies only where Magrathean processes customer personal data as a processor on behalf of a customer and no separate signed data processing agreement applies. If there is a signed DPA, the signed DPA controls.
26.1 Subject matter and duration
Magrathean may process customer personal data to provide agreed support, troubleshooting, security investigation, enterprise assistance, product diagnostics, or related services for the duration of the support or enterprise relationship and any retention period required by law or legitimate business need.
26.2 Nature and purpose
Processing may include receiving, viewing, analysing, storing, copying, securing, redacting, deleting, and returning support material, logs, reports, tenant evidence, app diagnostics, local history, screenshots, and related communications for support, security, legal, and operational purposes.
26.3 Categories of data and data subjects
Data may include business contact data, tenant metadata, directory data, user names, email addresses, IDs, roles, permissions, device metadata, OAuth grant metadata, sharing metadata, audit event metadata, local Codex session metadata, quota data, project paths, logs, error messages, and other material submitted by the customer. Data subjects may include customer personnel, tenant users, administrators, contractors, developers, support contacts, and other individuals represented in submitted material.
26.4 Customer instructions
Magrathean will process customer personal data only on documented customer instructions, including these Terms, the applicable support request, a written agreement, or lawful instructions provided through an authorised customer contact, unless law requires otherwise.
26.5 Confidentiality and security
Magrathean will ensure that persons authorised to process customer personal data are subject to confidentiality obligations and will use appropriate technical and organisational measures designed to protect the data.
26.6 Subprocessors
Magrathean may use subprocessors for hosting, email, support, security, storage, communications, professional services, and business operations. Magrathean remains responsible for subprocessors as required by applicable data-protection law and will provide an applicable subprocessor list or URL in the relevant enterprise agreement or support channel where required.
26.7 International transfers
Where required, Magrathean will use appropriate transfer mechanisms such as adequacy decisions or regulations, EU Standard Contractual Clauses, the UK International Data Transfer Agreement, the UK Addendum, or another lawful mechanism.
26.8 Assistance and deletion
Taking into account the nature of processing and available information, Magrathean will provide reasonable assistance with data-subject requests, security, breach notification, DPIAs, and regulator consultation where required by applicable data-protection law and proportionate to the service. On termination or completion, Magrathean will delete or return customer personal data according to the applicable agreement, support process, legal requirement, and backup retention rules.
26.9 Audit
Magrathean will make reasonable information available to demonstrate compliance with this processor section where required by applicable law. Audits must be reasonable, non-disruptive, confidential, and subject to appropriate security controls.
Legal hierarchy, mandatory rights and safer-use controls
These Terms govern ordinary use of Auditex and related websites, apps, public tools, documentation and support routes. They do not replace any signed master services agreement, statement of work, order form, data-processing agreement, enterprise licence, security addendum, app-store rule, open-source licence or platform term that expressly applies to a specific transaction or deployment. If there is a conflict, the more specific written agreement or mandatory platform rule controls the relevant issue.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, statutory consumer rights, data-protection rights, app-store rights that cannot be waived, or any other mandatory legal protection. Any indemnity, liability cap, warranty exclusion, termination right or use restriction is intended to apply only to the maximum extent permitted by law. Business-use indemnities do not apply to consumers except where mandatory law permits and the claim arises from intentional, unlawful or clearly unauthorised misuse.
You must not submit passwords, bearer tokens, private keys, recovery codes, .env files, raw tenant exports, production personal-data dumps, unredacted footage, confidential third-party data, special-category data, criminal-offence data, children’s data, or customer secrets through ordinary contact or support routes unless we have agreed a secure written handling process. We may reject, delete, quarantine, return or restrict unsafe material without reviewing all of it.
Security reports and vulnerability details should be sent privately and with enough information for us to reproduce and triage the issue. Do not access, copy, alter, delete, exfiltrate, disclose or publish data that is not yours. Do not run denial-of-service tests, social engineering, persistence, destructive payloads or public proof-of-concept disclosure without written permission.
Any score, audit output, AI output, quota estimate, vehicle/battery analysis, server health view, terminal output, footage report, export, diagnostic finding, security recommendation or compatibility statement is informational unless a separate written engagement expressly says otherwise. You remain responsible for human review, authorisation, backups, change control, legal compliance, third-party notices and operational decisions.
Changes to these Terms
Magrathean may update these Terms from time to time. The updated Terms will show a new “Last updated” date. Changes apply when posted unless the notice says otherwise. Where required by law, platform rules, or contract, Magrathean will provide additional notice or seek consent.
If a change materially and adversely affects a paid current-term service, your remedy is the remedy required by mandatory law, Apple rules, or the applicable written agreement.
Assignment
You may not assign or transfer your rights or obligations under these Terms without Magrathean’s written consent, except where mandatory law says otherwise. Magrathean may assign or transfer its rights and obligations in connection with a merger, acquisition, reorganisation, sale of assets, change of control, or transfer of product operations.
Severability and waiver
If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver of the right to enforce it later.
Governing law and jurisdiction
These Terms are governed by the laws of England and Wales, except that mandatory local consumer, data-protection, platform, employment, professional, tenant, or statutory rights continue to apply where they cannot lawfully be excluded.
For business users, the courts of England and Wales have exclusive jurisdiction, except that Magrathean may seek urgent, injunctive, security, IP, payment, or enforcement relief in any competent court.
For consumers, this jurisdiction clause does not limit mandatory rights to bring claims or rely on protections in the country where you live, including mandatory EEA or Hungarian rights where applicable.
Evidence handling
Before sharing any report, export, customer pack, AI context, support bundle, or generated artifact, you must check the content, remove unnecessary sensitive data, and confirm that the recipient is authorised to receive it.
No incident-response or continuous-monitoring reliance
Auditex is an audit and reporting tool. It is not a managed detection service, emergency incident-response service, continuous monitoring platform, SIEM, backup service, compliance certification, penetration test, legal opinion, or substitute for your own security, governance, and data-protection processes.
